These Terms and Conditions (these Terms) govern your access to and use of the Bullski website (the Website), your participation in the Bullski token presale (the Presale), and your use of any related services we provide (together, the Services).
1. Introduction and acceptance
The Website and the Services are operated by the Bullski team (we, us, our). By accessing the Website, connecting a digital wallet, taking part in the Presale, or otherwise using the Services, you agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Disclaimer, all of which are incorporated by reference. If you do not agree, you must not use the Website or the Services.
You should read these Terms carefully and keep a copy. We recommend you read the Disclaimer in full, because it sets out the risks of taking part.
2. Definitions
| Term | Meaning |
|---|---|
| Token, BULLSKI | The Bullski ERC-20 token on Ethereum with a fixed total supply of one hundred and twenty billion. |
| Presale | The staged sale of the Token through the Website before public listing. |
| Stage | One of the sixteen pricing tiers of the Presale, each at a published price. |
| Listing | The point at which the Token becomes tradeable on a decentralised exchange. |
| Wallet | A self custodied digital asset wallet that you control. |
| Vesting | The schedule under which purchased Tokens become claimable or transferable over time. |
| Excluded Person | Any person resident in or a citizen of the United States or the United Kingdom, or located where participation would be unlawful. |
3. Eligibility and excluded persons
You may only use the Services and take part in the Presale if all of the following are true. You are at least eighteen years old. You have full legal capacity to enter into a binding contract. You are not an Excluded Person. Your participation does not breach any law, regulation, or sanctions regime that applies to you.
The Token is not offered to, and may not be acquired by, Excluded Persons. By taking part you represent and warrant that you are not an Excluded Person and that you will cease participation if that ceases to be true. We may use technical measures, including geographic blocking, to restrict access, and we may refuse, cancel, or reverse any participation we reasonably believe involves an Excluded Person or breaches these Terms.
4. Nature of the Token
The Token is a meme coin created for community, cultural, and entertainment purposes. It is not, and must not be treated as, a share, security, bond, unit in a collective investment scheme, e money, a deposit, a regulated investment, or any other regulated financial instrument under the law of England and Wales or any other jurisdiction.
Holding the Token does not give you any ownership interest, equity, dividend, interest, governance right, or claim against us or any other person. The Token has no intrinsic value. Acquiring it is not an investment, is not a loan to us, and carries no promise or expectation of profit or return.
5. The Presale
Structure. The Presale is conducted in sixteen Stages. Each Stage offers a defined allocation of Tokens at the price published on the Website for that Stage. Prices increase from Stage to Stage. The price, allocation, and any bonus that applies are as shown on the Website at the time of your purchase.
How to take part. You connect a compatible Wallet, select the amount to spend in an accepted cryptocurrency shown on the buy page, and confirm the transaction in your Wallet. You are responsible for selecting the correct network and for any network or gas fees. Exchange rates shown at checkout may be held for a limited period only, as stated at the time.
Finality. Blockchain transactions are final and irreversible. Once confirmed on chain, a purchase cannot be reversed, cancelled, refunded, or recalled by us for any reason, including buyer error such as sending the wrong amount or using the wrong network. You are solely responsible for the accuracy of your transactions.
Delivery, vesting and claims. Tokens are delivered or made claimable in accordance with the vesting and claim schedule published on the Website. You may be required to return to the Website after Listing to claim Tokens. We are not responsible for your failure to claim, or for losses arising from claiming to an incorrect or compromised Wallet.
Bonuses. Where a Stage carries a bonus, the bonus Tokens are allocated as described on the Website and may be subject to their own vesting terms. Bonuses are discretionary promotional features and do not represent any guarantee of value.
Listing price. Any listing price referenced on the Website describes the intended initial pricing of the liquidity pool only. It is not a promise or guarantee of the price at which the Token will trade. Once trading begins, the market sets the price, and the Token may trade below any price referenced before Listing.
6. Wallet and security
You are solely responsible for the security and operation of your Wallet, your private keys, and your recovery phrase. We never have access to and will never ask for your private keys or recovery phrase, and we cannot recover them or reverse transactions for you. Use only official Bullski links and channels. We are not responsible for losses caused by phishing, fake websites, fraudulent tokens, malware, compromised devices, or third party Wallet providers.
7. Referral programme
If we offer a referral programme, you may earn bonus Tokens when people you refer take part, on the terms shown on the Website. You must not promote your referral link through spam, misleading claims, impersonation, or any unlawful means. We may withhold or cancel referral rewards, and suspend participation, where we reasonably believe the programme has been abused. We may change or end the programme at any time.
8. Staking
If we offer staking, you may lock Tokens for a period in return for rewards, on the terms shown on the Website. Rewards are funded from the allocation described in the tokenomics and are variable. Rewards are not interest, are not guaranteed, and may change. Staking involves smart contract risk and lock up risk. It is a community feature and is not a deposit, savings, or investment product.
9. Token burn
Unsold Presale Tokens and any allocation designated for burning may be permanently removed from supply at or after the close of the Presale, as described in the tokenomics. A burn reduces total supply but is not a guarantee of any effect on price or value.
10. No financial, legal or tax advice
Nothing on the Website or in the Services is financial, investment, legal, accounting, or tax advice, and nothing is a personal recommendation. We are not your adviser and owe you no fiduciary duty. You are responsible for your own decisions and for understanding the tax treatment of your activity, and should obtain independent professional advice before taking part.
11. Risk acknowledgement
You acknowledge and accept that crypto assets are highly volatile and largely unregulated, that the value of the Token may fall as well as rise, that you may lose the entire amount you commit, and that you accept all of the risks set out in the Disclaimer, which forms part of these Terms. You confirm you are taking part using funds you can afford to lose entirely.
12. Anti money laundering and sanctions
You must comply with all anti money laundering, counter terrorist financing, and sanctions laws that apply to you. You represent that your funds are lawfully obtained, that you are not subject to sanctions, and that you are not acting for any sanctioned person. We may carry out checks and may refuse, suspend, or report activity where required or where we reasonably suspect unlawful conduct.
13. Intellectual property
The Bullski name, logos, artwork, characters, story, written content, and Website design are owned by the Bullski team or licensed to us, and are protected by intellectual property law. We grant you a limited, personal, non transferable, revocable licence to view the Website for your own non commercial use. You must not copy, reproduce, distribute, modify, or commercially exploit our content without our prior written consent.
14. Acceptable use
You agree not to use the Website or Services to break any law, infringe the rights of others, introduce malware, attempt unauthorised access, interfere with or disrupt the Website, scrape or harvest data, manipulate the Presale, or launder money or finance illegal activity.
15. Third party services
The Website may link to or rely on third party services, including Wallet providers, exchanges, bridges, and blockchain networks. We do not control these and are not responsible for their performance, security, or availability. Your use of them is at your own risk and subject to their own terms.
16. Limitation of liability
To the fullest extent permitted by law, we, our directors, employees, and contractors are not liable for any indirect, incidental, special, or consequential loss, or for any loss of funds, profit, opportunity, or data, arising from or in connection with the Website, the Services, or your participation in the Presale, including losses caused by market movements, smart contract failures, blockchain issues, third party services, Wallet errors, or unavailability of the Website.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the law of England and Wales, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any statutory consumer rights that cannot lawfully be excluded.
17. Indemnity
You agree to indemnify and hold us harmless from any claim, loss, liability, or cost, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Services, or your breach of any law or third party rights.
18. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including network failures, blockchain congestion or forks, cyber attacks, changes in law, or regulatory action.
19. Changes
We may change these Terms and the Services from time to time. The version published on the Website at the time you use the Services applies. Where a change is material we will take reasonable steps to bring it to your attention. Continued use after a change means you accept the updated Terms.
20. Suspension and termination
We may suspend or end your access at any time where you breach these Terms, where required by law, or where we reasonably consider it necessary to protect the Services or other users.
21. General
If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign your rights without our consent, and we may assign ours. These Terms are the entire agreement between you and us in relation to the Services. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999.
22. Complaints
If you have a complaint, contact us at [email protected] and we will respond as soon as we reasonably can.
23. Governing law and jurisdiction
These Terms, and any dispute arising out of or in connection with them, including non contractual disputes, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may benefit from mandatory protections and rights to bring proceedings under the law of the place where you live.
